Job Description

Description We are seeking an experienced Commercial Counsel to join a mission-driven organization that provides policy, training, and wellness solutions to public safety agencies. This fully remote, full-time position focuses on negotiating and managing complex commercial agreements that help law enforcement, fire departments, and other public safety organizations reduce risk, improve operations, and support their personnel. Responsibilities + Draft, review, and negotiate a wide range of commercial agreements, including SaaS subscription contracts, government procurement agreements, and licensing deals for an integrated platform. + Advise internal teams on contract terms, compliance requirements, and risk mitigation strategies, ensuring alignment with federal and state standards and court rulings. + Collaborate with sales, procurement, and product teams to structure agreements that meet operational and regulatory needs of public safety agencies. + Maintain and update contract templates and negotiation playbooks to improve efficiency and consistency. + Monitor changes in laws and regulations impacting SaaS and government contracting, and provide guidance to stakeholders. + Support contract lifecycle management and assist with resolving contractual disputes when necessary. Requirements + J.D. from an accredited law school and active bar membership in California (or ability to register as in-house counsel). + 3+ years of experience in commercial transactions, with a strong focus on SaaS agreements, government contracts, and licensing. + Familiarity with public sector procurement processes and compliance requirements. + Excellent drafting, negotiation, and communication skills. + Ability to work independently in a fast-paced, fully remote environment.
