Role Overview
We are seeking a highly skilled and business-oriented Legal Counsel to join our team. This role is ideal for a lawyer with strong experience in startup and venture capital transactions, who can operate independently and provide strategic legal guidance across corporate, commercial, and regulatory matters.

Key Responsibilities

  • Advise on corporate governance, financing structures, and compliance requirements for a Delaware corporation.

  • Draft, review, and negotiate investment agreements (SAFE, convertible notes, preferred stock financings) with venture capital funds and angel investors.

  • Support cap table management, ESOP implementation, and equity/phantom equity plans.

  • Develop and maintain standard contract templates (NDAs, MSAs, vendor agreements, partnership agreements).

  • Oversee intellectual property protection, including copyright, trademark, and licensing, particularly in digital content and music-related applications.

  • Ensure compliance with applicable U.S. federal and state laws, as well as relevant international regulations.

  • Act as primary point of contact for external counsel.

Requirements

  • 5+ years of post-qualification experience, preferably in a mix of top-tier law firm and in-house roles.
  • Proven track record in startup financing transactions and venture capital deal structuring.
  • Strong understanding of Delaware corporate law.
  • Experience in intellectual property, especially in technology and digital media.
  • Excellent negotiation, drafting, and communication skills.
  • Ability to work in a fast-paced, high-growth environment with minimal supervision.

Nice to Have

  • Experience in international contract law.
  • Knowledge of music licensing frameworks and digital content compliance.
